​MicroStrategy, a renowned business intelligence and analytics firm, announced on December 20, 2024, the expansion of its Board of Directors from six to nine members. This strategic move comes shortly before the company's anticipated inclusion in the Nasdaq 100, highlighting its commitment to strengthening leadership as it gains broader market recognition.

According to a filing with the U.S. Securities and Exchange Commission (SEC), the newly elected board members—Brian Brooks, Jane Dietze, and Gregg Winiarksi—bring extensive expertise in technology, finance, and law, positioning the company for continued growth and innovation.

New appointees bring diverse expertise

Brian Brooks, an accomplished executive in finance, law, and cryptocurrency, joins the Board after serving as Chairman and CEO of Meridian Capital Group since April 2024. His impressive career includes leadership roles at Coinbase, Binance, and the Office of the Comptroller of the Currency (OCC). With a strong background in legal and regulatory affairs, Brooks is set to make valuable contributions as MicroStrategy continues its focus on integrating digital assets.

Jane Dietze, the Chief Investment Officer at Brown University since 2018, brings a wealth of experience in endowment management and private equity. She has held leadership positions at Fortress Investment Group and Bowdoin College, and has served on the boards of Galaxy Digital and other firms in the technology and finance sectors. Dietze’s expertise in strategic investment will support MicroStrategy’s efforts to maximize shareholder value.

Gregg Winiarksi, currently the Chief Legal Officer at Fanatics Holdings, Inc., has extensive experience in legal strategy and corporate governance. His previous roles include over a decade as General Counsel at IAC, Inc., and board positions at Match Group and ANGI Homeservices. Winiarksi’s legal acumen will strengthen MicroStrategy’s corporate oversight and compliance frameworks.

The addition of these directors reflects MicroStrategy’s strategic preparation for its enhanced profile as a Nasdaq 100 constituent.
