Metaplanet buys Super League stake to launch U.S. bitcoin treasury platform
Metaplanet is expanding its bitcoin treasury strategy into the U.S. by taking a controlling stake in Nasdaq-listed Super League Entertainment through a deal valued at about $134.6 million. The transaction gives the Tokyo-listed company a U.S.-listed vehicle for its bitcoin operations and prompts a sharp rally in Super League shares.

- Super League will be renamed Superplanet Inc. and listed under the ticker SUPA, serving as Metaplanet's U.S. bitcoin treasury platform after the fourth-quarter transaction close.
- Super League shares jumped up to 80% intraday, Metaplanet shares gained over 4%, and the 2,100 BTC paid equals nearly 5% of Metaplanet's 43,000 BTC holdings.
Deal structure and U.S. platform plan
The Block reports that Metaplanet is acquiring roughly 96% of Super League through a combination of bitcoin and cash, turning the gaming media company into its U.S. bitcoin treasury platform. The company is set to buy 44.9 million newly issued Super League shares at $3 each, alongside preferred stock and warrants, in exchange for 2,100 bitcoin, valued at roughly $136 million at current prices, and $2.5 million in cash.Once the transaction closes, Super League is due to be renamed Superplanet Inc. and trade under the ticker SUPA. Metaplanet is expected to own about 95.7% of the company's outstanding common stock, while Superplanet reportedly keeps Super League's gaming media business alongside its new role as Metaplanet's U.S.-listed bitcoin treasury.
Chief executive Simon Gerovich says the company has built one of the world's largest bitcoin treasuries from Japan and sees Superplanet as its route to build in America, which he describes as the deepest capital market in the world. The transaction is expected to close in the fourth quarter.
Market reaction and broader expansion strategy
Super League shares surge as much as 80% in the first hour of trading on Tuesday before giving back part of the gain to trade around 50% higher. Metaplanet shares rise a little more than 4%, while the 2,100 BTC committed to the deal represents nearly 5% of Metaplanet's total 43,000 BTC holdings.Benchmark analysts say the structure differs from many shell-and-PIPE bitcoin treasury deals seen over the past two years because Metaplanet is using bitcoin from its own balance sheet instead of discounted third-party capital. They note the share count is fixed on Aug. 14, the equity is priced near Super League's Aug. 17 close without a discount, and Metaplanet's shares are subject to a five-year lock-up.
The U.S. push follows Metaplanet's acquisition of Japanese brokerage Siiibo Securities, which it plans to use to develop bitcoin-backed fixed-income products it calls Bitbonds. That effort forms part of the company's Project Nova strategy, which aims to expand beyond holding bitcoin into building bitcoin-based financial infrastructure, including the potential use of bitcoin collateral for perpetual preferred stock offerings.

We noted that the Krak Card lets users spend from hundreds of currencies and crypto assets with automatic conversion at checkout, while earning rewards paid in cash or bitcoin, as firms compete more directly with mainstream U.S. fintech apps.
