S&P Global acquires OpenZeppelin to expand DeFi services

Financial analytics company S&P Global has completed its acquisition of OpenZeppelin, a firm specializing in smart contract security and decentralized finance (DeFi) protocol audits. The deal will allow the group to expand its assessment of blockchain-related risks, while OpenZeppelin will retain its operational independence and existing leadership.

S&P Global announced the completion of the deal in a press release on October 26, 2026. The agreement was announced on September 17, but the parties have not disclosed its financial terms.

The buyer does not expect the acquisition to have a material impact on its financial results. The primary goal of the integration is to develop tools for assessing technological risks associated with digital assets.

OpenZeppelin to retain brand and open-source software

OpenZeppelin will continue operating as a separate division under the leadership of founder Demian Brener. He will report directly to S&P Global Ratings President Yann Le Pallec.

OpenZeppelin confirmed that its security audits, secure software development and blockchain ecosystem support programs will continue with the existing team.

According to S&P Global, specialists at the acquired company have completed more than 900 security audits and other security-related projects. Their expertise will be used to develop new tools for assessing the reliability of blockchain applications.

However, the parties have not specified what mechanisms will ensure the independence of OpenZeppelin's auditing activities from its new owner's ratings business.

The company also emphasized that its Contracts libraries and other publicly available tools will remain free and continue to be maintained on GitHub.

The libraries provide ready-made components for creating tokens and managing access permissions in smart contracts. Their source code is distributed under the MIT license.

S&P Global expands digital asset risk assessment

The OpenZeppelin acquisition will allow the analytics group to assess not only the financial performance of blockchain projects but also technological threats, including smart contract vulnerabilities.

The company is also examining risks associated with Bitcoin-backed lending. Such products allow borrowers to obtain fiat currency or other liquidity without selling their crypto assets.

These loans are available to both retail and institutional clients. They can also be used for securitization — the issuance of securities backed by loan payments and Bitcoin collateral.

Analyzing such instruments requires assessing borrowers' creditworthiness, collateral values and transaction structures. These factors determine the risks investors face when the market price of Bitcoin changes.

Earlier, we reported that S&P Global data showed an increase in weekly credit rating downgrades amid a growing number of risky issuers. The trend points to deteriorating credit quality among some of the companies monitored by the agency.
