Cloud Software first-lien debt cut by Fitch as $2 billion note issue reshapes recovery outlook
Cloud Software Group keeps its 'B+' long-term issuer ratings with a stable outlook as Fitch adjusts parts of the capital structure after a new debt launch. The ratings action centers on a planned $2 billion first-lien notes issuance that will repay part of the company's existing second-lien bonds and reduce recovery prospects for some senior secured lenders.
Highlights
- Fitch downgraded Cloud Software Group's senior secured first-lien revolver, term loans, and notes to 'BB'/'RR2' after issuing $2 billion new first-lien notes, while issuer rating remains at 'B+'.
- The $2 billion first-lien note proceeds repay part of existing second-lien bonds, but increased first-lien debt lowers recovery potential for current first-lien lenders.
- Fitch expects leverage to improve to approximately 5x, supported by over 98% recurring revenue, EBITDA growth, and stable liquidity despite private equity ownership and acquisition risk.
Rating action and debt structure changes
As reported by Fitch Ratings, the agency affirms the Long-Term Issuer Default Ratings of Cloud Software Group MidCo, Inc., Cloud Software Group Holdings, Inc., Cloud Software Group, LLC, and Picard Parent, Inc. at 'B+' with a stable outlook. Fitch assigns a 'BB' rating with a Recovery Rating of 'RR2' to the company's new first-lien notes, downgrades the senior secured first-lien revolver, term loans and notes to 'BB'/'RR2' from 'BB+'/'RR1', and affirms the senior secured second-lien bonds at 'B-'/'RR6'.The proceeds from the newly launched $2 billion first-lien notes are used to repay a portion of the existing second-lien bonds. Fitch says the added first-lien debt weakens recovery prospects for existing first-lien facilities, which drives the downgrade in recovery and issue ratings even as the issuer rating remains unchanged.
Credit profile supported by recurring software revenue
Fitch says the ratings continue to reflect Cloud Software Group's diversified enterprise software portfolio, high recurring revenue base and improving credit profile. The agency expects leverage to improve to about 5x over the rating horizon, supported by EBITDA growth, cost control and disciplined capital spending.According to Fitch's assessment, the company benefits from established positions in virtualization, digital workspace, data integration and analytics, while annual recurring revenue is expected to grow in the low single digits. Recurring revenue remains above 98% of total revenue, supporting visibility even as the company faces competition from larger software vendors and public cloud providers.
Fitch also says Cloud Software Group maintains adequate liquidity through free cash flow generation and revolving credit access, although as a private equity-owned company it may favor acquisitions and dividends over faster deleveraging. The agency views AI disruption risk as low over the medium term, arguing that the group's Citrix and TIBCO products remain embedded in customers' infrastructure for secure access, traffic routing, integration and data movement.
