OpenPayd targets Nasdaq listing and U.S. expansion as acquisition plans build
OpenPayd eyes Nasdaq entry

OpenPayd is moving toward a public market debut while preparing a broader push into the U.S. payments market. The London-based infrastructure company says the listing could support its planned launch by April 2027 and give it more firepower for acquisitions focused on licenses and technology.

Highlights

  • OpenPayd expects to finalize its Nasdaq listing via merger with Titan Acquisition Corp by year-end, pending SEC review and Titan shareholder approval.
  • OpenPayd acquired MSB USA Inc. and its 43 state money transmitter licenses, targeting a launch of U.S. services by April 2027 and prioritizing cross-border and stablecoin payments.
  • OpenPayd reported $73 million revenue, $13 million EBITDA, and a $2.8 million net loss for the year ending April 30, 2026, with the Titan deal implying up to $1.1 billion pro forma equity value.

Listing process and U.S. launch plans

As reported by CoinDesk, OpenPayd expects to complete its planned Nasdaq listing by the end of the year as it advances its merger with Titan Acquisition Corp. Chief executive Iana Dimitrova says the company is in the final stages of the U.S. Securities and Exchange Commission review, with the transaction still needing the registration statement to become effective and Titan shareholder approval, among other conditions.

If the deal closes, OpenPayd would trade under the ticker OP. Dimitrova says the company aims to launch services for U.S. customers by April 2027, after last month bringing MSB USA Inc. and its 43 state money transmitter licenses under the OpenPayd group.

OpenPayd provides access to accounts, foreign exchange and domestic and international payments, alongside infrastructure that supports transfers between traditional currencies and stablecoins. Its customers include crypto exchange Kraken, market maker B2C2 and trading platform OKX, while the company has also integrated with Circle Payments Network for cross-border payments and joined Fireblocks' payments network.

Growth strategy and market opportunity

The company sees the U.S. as a more attractive market for crypto-related financial infrastructure as digital-asset and stablecoin rules develop. Dimitrova says opportunities exist in both cross-border payments and stablecoin services, even though delays to broader U.S. digital-asset market-structure legislation remain a setback.

Acquisitions are likely to play a larger role in that expansion. Dimitrova says OpenPayd is looking at businesses that can add licenses or technology and help it enter new markets faster than building those capabilities internally, while a listing would provide both access to capital and publicly traded shares for deals and partnerships.

According to an investor presentation, OpenPayd reports $73 million in revenue for the year ended April 30, 2026, up from $57 million a year earlier. The company also reports $13 million in EBITDA and a $2.8 million net loss for the latest year, while the announced terms of the Titan transaction imply a pro forma equity value of as much as $1.1 billion.

Our earlier article on Anthropic’s leaked draft IPO prospectus highlighted unusually large projected losses and massive planned spending, raising questions about how public-market investors might price the company. We noted that figures on this scale can intensify scrutiny of IPO candidates in fast-growing sectors, where valuation often depends on confidence in a credible path to profitability and sustainable funding.
