Prudential Funding (Asia) Plc is moving ahead with a proposed offshore yuan subordinated dated notes sale under its global medium-term note programme. The planned issuance carries an unconditional guarantee from Prudential plc and is expected to preserve the group's sound capital and leverage position.

Highlights

  • Fitch Ratings assigned an 'A' rating to Prudential Funding (Asia) Plc's proposed offshore yuan-denominated subordinated notes, two notches below Prudential plc's AA-/Stable Issuer Default Rating.
  • The notes, used for general corporate purposes, will be classified as Tier 2 capital under Hong Kong's rules and treated as 100% equity in Fitch's capital adequacy assessment despite no equity credit in leverage calculations.
  • Fitch expects Prudential's financial leverage ratio to remain below 16% post-issuance, with a 195% group-wide capital coverage ratio as of H1 2026, well above the 100% regulatory minimum.

Rating rationale and note structure

As reported by Fitch Ratings, the proposed notes are assigned an 'A' rating and will be issued as direct, unsecured and subordinated obligations of Prudential Funding (Asia) Plc, a UK-domiciled finance company. The proceeds are earmarked for general corporate purposes, while Prudential plc, which holds an Issuer Default Rating of AA-/Stable, guarantees full payment of principal and interest when due.

The rating sits two notches below Prudential's Issuer Default Rating to reflect Fitch's 'Poor' recovery assumption for subordinated notes backed by the ultimate holding company. The agency says the securities rank junior to current and future senior creditors if PFA is wound up, but pari passu with legacy Tier 2 notes and other Tier 2 obligations, and ahead of deeply subordinated Tier 1 instruments and share capital.

Fitch says it is not applying additional notching for potential non-performance under the lock-in clause on redemption because it sees that risk as minimal. Under the clause, PFA must defer interest or principal payments if a redemption would cause the issuer to fall below minimum or prescribed group capital requirements, with payments delayed until capital is restored.

Capital treatment and implications for Prudential

The notes will not receive equity credit in Fitch's financial leverage calculation because they are dated instruments. However, Fitch will treat them as 100% equity in its capital adequacy assessment under a regulatory override, and the securities will be classified as Tier 2 capital under Hong Kong's group-wide supervision rules.

Fitch expects Prudential's financial leverage ratio, which stood at 9% at the end of the first half of 2026, to remain below 16% after the issuance. The agency also says fixed-charge coverage should stay consistent with the current rating category, supported by continued improvement in operating free surplus and a capital position it views as strong enough to back business expansion.

On that basis, the group-wide supervision coverage ratio on a prescribed capital requirement was 195% at the end of the first half of 2026, well above the 100% regulatory minimum. Fitch says future rating action on the proposed notes will move in tandem with Prudential's long-term issuer rating, while ESG considerations remain credit-neutral with a relevance score of 3 unless otherwise stated.

Our earlier article on Fitch’s affirmation of CGN Energy International’s 'A' rating explained that the company’s investment-grade profile is underpinned by expected parent support and a largely contracted overseas generation portfolio. It also noted Fitch’s view that earnings could face pressure in 2026 due to weakness in China’s renewable power market, while leverage stays elevated as CGNEI continues investing in new capacity.
