United Mining Industries advances Knauf tender offer after CMA approval
Knauf offer advances

United Mining Industries is moving forward with Knauf International GmbH's planned tender offer for the remaining shares in the Saudi-listed company after a regulatory clearance in September 2026. The step allows publication of the offer document and timetable for the proposed acquisition of up to 100% of the shares not already targeted under the transaction.

Highlights

  • United Mining Industries announced Capital Market Authority approval on 21 September 2026 for publication of the Knauf acquisition tender offer documents and timetable.
  • Knauf International GmbH seeks to acquire up to 100% of remaining United Mining Industries shares under Saudi merger and acquisitions rules, as initially announced on 22 June 2026.
  • Shareholders are advised to carefully review the tender offer and forthcoming board circular, and consult a licensed financial adviser if uncertain about participating in the offer.

Tender offer documents cleared for publication

As reported by Saudi Exchange, United Mining Industries says the Capital Market Authority approved on 21 September 2026 the publication of the tender offer timetable and the offer document related to Knauf International GmbH's proposed acquisition. The approval follows the company's earlier announcement on 22 June 2026 that Knauf had a firm intention to launch an offer for up to 100% of the remaining shares in United Mining Industries under Saudi merger and acquisitions rules.

The newly published offer document, prepared by Knauf for shareholders, sets out the terms of the tender offer in line with Article 38 of the Merger and Acquisitions Regulations. The timetable outlines the key stages and dates for completing the offer, in line with Article 17 of the regulations.

Shareholders advised to review terms carefully

United Mining Industries, acting on behalf of Knauf, urges shareholders to review all information in the offer document carefully before making any decision on the transaction. The company also says shareholders who are uncertain about the action they should take should consult an independent financial adviser licensed by the Capital Market Authority.

The company adds that each shareholder remains responsible for making an independent assessment of the tender offer and the information provided. It also highlights the importance of reading the board circular that is due to be issued by United Mining Industries' board before shareholders decide how to respond to the offer.
