Canadian Securities Administrators finalize IFRS 18-related disclosure rule changes
IFRS 18: Canada aligns rules

Canada's securities regulators are moving to align financial disclosure rules with a new global accounting standard set to take effect in 2027. The changes keep certain performance measures under existing non-GAAP requirements and also aim to reduce duplicate reporting in company filings.

Highlights

  • Canadian Securities Administrators finalized amendments to National Instrument 52-112 aligned with IFRS 18, preserving oversight of management-defined performance measures after IFRS 18's 2027 implementation.
  • The new rules, effective December 29, 2026 pending approvals, allow disclosure by reference to financial statement notes and require neither non-GAAP nor subtotal measures exceeding mandated prominence.
  • These changes aim to ensure continuity and consistency in Canadian capital markets disclosure as IFRS 18 takes effect, while the BC Securities Commission did not participate due to election-related publication restrictions.

Amendments align NI 52-112 with IFRS 18

As reported by Canadian Securities Administrators, the final amendments to National Instrument 52-112 are designed to preserve oversight of financial measures that have historically fallen under the rule once IFRS 18 Presentation and Disclosure in Financial Statements takes effect.

The CSA said IFRS 18 becomes effective for annual reporting periods beginning on or after January 1, 2027, and requires management-defined performance measures to be disclosed in a single note to the financial statements. Under the amendments, those measures, historically treated as non-GAAP financial measures, remain subject to NI 52-112 disclosure requirements when they are presented outside the financial statements.

To avoid duplicative disclosure, the amendments permit certain information to be incorporated by reference to relevant notes in the financial statements in some circumstances. They also add a prominence requirement when an additional subtotal is disclosed outside the financial statements, reflecting IFRS 18 rules that require subtotals on primary financial statements to appear no more prominently than mandated totals and subtotals.

Implementation timing and market impact

Subject to required approvals, the amendments come into force on December 29, 2026, giving reporting issuers and market participants a defined timetable ahead of the IFRS 18 transition.

The move is aimed at maintaining continuity in Canadian capital markets disclosure as accounting presentation rules change, while improving consistency between company reporting inside and outside audited financial statements. The CSA, which coordinates securities regulation across Canada's provinces and territories, said the BC Securities Commission did not participate in the release because of publication restrictions tied to the upcoming B.C. provincial election.

In our earlier coverage of sovereign resilience in a higher-rate environment, we noted that persistent geopolitical shocks and elevated fiscal spending can tighten governments’ financing conditions and raise refinancing risks as borrowing costs stay high. We also highlighted that emerging and frontier markets are more exposed because debt-service burdens often sit against narrower revenue bases, while energy- and food-price pressures can further strain inflation and public finances.
