Balance sheet update and capital structure changes
As reported by The Energy Mag, citing American Bitcoin Corp.'s Form 10-Q filed on Nov. 4, the company values its strategic Bitcoin reserve at about $702.9 million based on a period-end price of roughly $83,415 per coin. The filing says the reserve is the company's primary asset and outlines how part of the holding supports equipment-related obligations.American Bitcoin says 3,090 Bitcoin are pledged as collateral for miner purchases. It also reports $115.7 million in derivative assets tied to Bitcoin redemption rights and put options under purchase agreements with Bitmain.
The filing details changes to the company's capital structure during 2026. On July 2, ABTC filed a charter amendment for a 1-for-15 reverse stock split, and the stock begins trading on a split-adjusted basis on July 6.
The company also describes its separation from Hut 8. It says Hut 8 contributed substantially all of its ASIC miners in March 2025 in exchange for an 80% voting interest, and that before April 1, 2025, the business operated as a Hut 8 sub-segment without standalone financial statements.
Bitcoin exposure and operating risks
American Bitcoin says its liquidity remains sensitive to movements in Bitcoin prices. A 10% decline in Bitcoin would increase the fair value of its derivative assets by an estimated $19.9 million, while a 10% rise would reduce that value by about $17.7 million. The filing also highlights counterparty and custody risks tied to third-party providers. Anchorage and Bitgo hold the company's Bitcoin, and American Bitcoin says it monitors their financial condition and security controls while remaining exposed to possible operational disruptions or cybersecurity incidents.
Beyond digital asset custody, the company flags trade policy as another potential pressure point for operations. It says tariff changes affecting imported equipment could alter project timelines and raise capital expenditure needs for mining expansion.
Our earlier coverage on sovereign borrowing risks in a higher-rate environment explained how prolonged geopolitical tensions and elevated fiscal spending can keep inflation and funding costs elevated, tightening refinancing conditions—especially for emerging and frontier markets. We also noted that war-driven shocks to energy, food, and trade routes are prompting companies to rework supply chains, often at higher cost, adding another layer of operational uncertainty for businesses.
