A large industrial property financing backed by 76 assets across the U.S. has moved to final ratings, giving investors a clearer view of the risk profile of the BX Trust 2026-SUMT transaction. The deal is tied to a two-year, floating-rate, interest-only mortgage loan with three one-year extension options and is sponsored by Blackstone Real Estate Income Trust, Inc.

Highlights

  • Fitch assigned final ratings ranging from AAAsf (class A) to B-sf (class F) for BX Trust 2026-SUMT's $1.71 billion commercial mortgage loan secured by 76 properties.
  • The $1.71 billion loan refinances approximately $1.48 billion in debt, covers $40.6 million in closing costs, and returns $105.0 million in equity to the borrower.
  • Fitch noted high leverage with 123.3% loan-to-value, stressed debt service coverage ratio of 0.71x, and a portfolio capitalization rate of 7.25% yielding a $1.36 billion valuation.

Final ratings and transaction structure

As reported by Fitch Ratings, BX Trust 2026-SUMT has received final ratings on its commercial mortgage pass-through certificates after earlier expected ratings were assigned to the deal. The agency assigned AAAsf to class A, AAsf to class B, A-sf to class C, BBB-sf to class D, BB-sf to class E, B-sf to class F and NRsf to the HRR class.

The certificates represent beneficial ownership interests in a trust holding a $1.71 billion mortgage loan. The financing is secured by a first mortgage lien on the borrower's fee simple and leasehold interests in a portfolio of 76 properties, including 74 industrial facilities and two excess land parcels totaling about 19.0 million square feet across 18 states and 27 markets.

Loan proceeds are used to refinance about $1.48 billion of prior debt, cover $40.6 million in closing costs and return roughly $105.0 million in equity to the borrower. The loan is co-originated by Wells Fargo Bank, National Association, Goldman Sachs Bank USA, Bank of Montreal, Natixis Real Estate Capital LLC and Societe Generale Financial Corporation, while KeyBank National Association is expected to act as servicer and special servicer.

Credit metrics and portfolio exposure

Fitch said its stressed net cash flow estimate for the portfolio is $100.6 million, or 13.9% below the issuer's figure. Using a 7.25% capitalization rate, the agency derived a Fitch value of $1.36 billion for the portfolio.

The agency also highlighted elevated leverage in the transaction. Fitch said the $1.71 billion trust loan equates to debt of $90 per square foot, with a stressed debt service coverage ratio of 0.71x, a loan-to-value ratio of 123.3% and a debt yield of 5.9%.

One area of focus is leasehold exposure tied to 200 Old Ranch Road in City of Industry, California, where a ground lease accounts for about 53.6% of trailing-12-month July 2026 net operating income. Fitch said it fully excluded all revenue and expenses attributable to that property to reflect the operating leverage on the ground lease.

The portfolio's diversification remains a credit support factor, with 120 unique tenants and an effective MSA count of 16.0. The largest state concentrations by size are Tennessee, Georgia and Indiana, while the largest markets by allocated loan amount are Atlanta, Minneapolis and Philadelphia.

The loan is sponsored by Blackstone Real Estate Income Trust, Inc., an affiliate of Blackstone Inc., and the portfolio is managed by Link Logistics. Fitch said the institutional sponsorship supports the transaction, citing Link Logistics' nationwide footprint of about 460 million square feet of logistics real estate across more than 3,000 properties.

Our earlier article covered EQT’s agreement to acquire California-based real estate firm Stockbridge for $375 million, a move aimed at expanding EQT’s U.S. real estate platform and adding roughly $37 billion in managed assets. We also noted how tougher fundraising conditions and slower exits are accelerating consolidation across private capital managers as they broaden strategies and scale up through acquisitions.
