Cintas acquisition bid for UniFirst faces FTC lawsuit threat
Cintas-UniFirst deal challenged

Regulatory pressure is building around Cintas' proposed $5.5 billion takeover of UniFirst, a deal that would combine two of North America's largest workwear and facility services providers. The potential challenge raises fresh uncertainty for a transaction that Cintas is using to expand its reach and cut costs through route, plant and supply chain integration.

Highlights

  • The Federal Trade Commission has indicated it may sue to block Cintas' proposed acquisition of UniFirst over combined market share concerns.
  • UniFirst shares dropped 8% and Cintas fell about 5% on Tuesday following news of possible FTC legal action against the deal.
  • Cintas' $89.71 billion market value compared to UniFirst's $5.06 billion highlights the deal's importance for sector consolidation, now at risk from antitrust scrutiny.

Antitrust concerns emerge over market share

As first reported by Reuters, citing Semafor, the Federal Trade Commission has indicated to Cintas that it will sue to block the proposed acquisition of UniFirst, citing people familiar with the matter.

The FTC has not yet voted on whether to file a lawsuit, but agency staff have privately expressed concerns about the companies' combined market share, the report said. Cintas agreed in March to buy smaller rival UniFirst in a cash-and-stock transaction after making at least three formal approaches since 2022.

Cintas, UniFirst and the FTC do not immediately respond to requests for comment in the report carried on Tuesday.

Market reaction and deal implications

Investors are reacting negatively to the prospect of a legal challenge, with UniFirst shares falling 8% on Tuesday and Cintas down about 5%. The proposed combination is central to Cintas' effort to strengthen its competitive position by combining delivery routes, plants and supply chains.

Cintas has a market value of $89.71 billion, while UniFirst's market capitalization stands at $5.06 billion. A successful FTC challenge would threaten to derail a multiyear pursuit and could reshape consolidation expectations across the uniform rental and facility services sector.
