Regulatory treatment of blockchain network tokens remains a central issue for the crypto sector as projects seek clearer boundaries between securities and commodities. The U.S. Securities and Exchange Commission's Division of Corporation Finance says it views Canton Coin as a digital commodity and will not recommend enforcement action over its programmatic issuance under specified conditions.
Highlights
- SEC Division of Corporation Finance's no-action letter states Canton Coin's value derives from network operations and supply-demand, not managerial profit efforts.
- SEC staff will not recommend enforcement if Canton Coin is minted by Super Validators, Validators, and application providers as described, without securities registration.
- Digital Asset raised $355 million in June led by a16z to expand the Canton ecosystem, following SEC staff clarity and 21Shares launching a U.S. ETF offering direct CC exposure.
SEC no-action position on Canton Coin
As reported by The Block, citing the U.S. Securities and Exchange Commission, the Division of Corporation Finance says in a no-action letter published Tuesday that Canton Coin, or CC, derives its value from the programmatic operation of the Canton Network and from supply-and-demand dynamics, rather than from expectations of profit tied to the managerial efforts of others. The division also points to the network's lack of a central party. Deputy Chief Counsel Jonathan Ingram writes that, based on the facts presented, the division will not recommend enforcement action to the Commission if, relying on counsel's opinion, Canton Coin is minted programmatically by Super Validators, Validators and application providers in the manner and under the circumstances described, without registration under Section 5 of the Securities Act or Section 12(g) of the Exchange Act.
The letter says the position reflects the Division of Corporation Finance's enforcement view based on the specific facts and representations submitted by Canton and does not amount to a legal conclusion on whether Canton Coin is a security.
Implications for Digital Asset and the crypto market
Canton Network is a blockchain infrastructure protocol developed by Digital Asset and is designed to enable secure, privacy-enabled and interoperable transactions across institutions and networks. The SEC staff position arrives after 21Shares became the first U.S. ETF issuer in May to offer direct exposure to CC, the network's native utility token.Digital Asset also raised $355 million in June in a funding round led by Andreessen Horowitz's a16z crypto fund to expand the Canton ecosystem and accelerate institutional adoption of its blockchain infrastructure. a16z partner Miles Jennings welcomes the SEC staff's stance, saying on X that the agency's token taxonomy from March and follow-up FAQs have created a clearer pathway for network tokens to be treated as digital commodities rather than securities.
Our earlier article examined India’s disinvestment drive, noting that most proceeds since FY2016 have come from market-based instruments such as ETFs, public issues and buybacks, while strategic sales contributed a much smaller share. It also highlighted how the planned IDBI Bank stake sale could materially lift the government’s receipts and help narrow the gap versus annual targets.
