Dayforce assigned 'B' IDR as Fitch sees leverage easing after Thoma Bravo deal
Dayforce's Fitch rating shift

Private equity-backed software group Dayforce is entering Fitch's rated universe after structural changes tied to its February 2026 acquisition by Thoma Bravo. The agency assigns a 'B' Long-Term Issuer Default Rating with a Stable Outlook and says leverage remains high in fiscal 2026 but is expected to decline over the next 12 to 18 months.

Highlights

  • Fitch assigns Dayforce, Inc. a 'B' Long-Term Issuer Default Rating with Stable Outlook and affirms 'B+' and 'RR3' on its $5.5 billion first lien secured term loan post-Thoma Bravo acquisition.
  • Fitch expects adjusted EBITDA leverage to decline to 7.6x in fiscal 2026 and below 7.0x within 12–18 months, aided by accelerated cost savings and EBITDA growth.
  • Dayforce's recurring revenue base stands at 85% with gross retention rates in the high-90% range, while Fitch projects EBITDA margins improving from high 20% in 2025 to high 30% over the rating horizon.

Rating action and capital structure

As reported by Fitch Ratings, Dayforce, Inc., formerly Dayforce Bidco, LLC, has been assigned a 'B' Long-Term Issuer Default Rating with a Stable Outlook, while the 'B+' rating and 'RR3' Recovery Rating on its $5.5 billion first lien secured term loan are affirmed.

The capital structure also includes a $500 million revolving credit facility. Fitch says Dayforce Bidco, LLC has been merged into Dayforce, Inc. following the Thoma Bravo acquisition completed in February 2026, and the legacy entity's ratings have been withdrawn because it is no longer relevant to coverage.

Fitch expects adjusted EBITDA leverage at 7.6x in fiscal 2026, lower than its earlier expectation of more than 8x, helped by cost savings achieved earlier than anticipated. The agency says leverage is expected to fall below 7.0x within 12 to 18 months, supported by EBITDA growth and operating leverage.

Recurring revenue and sector outlook

Dayforce's rating is also supported by an estimated 85% recurring revenue base, with customers billed on a fixed per-employee, per month basis and gross retention rates in the high-90% range. Fitch says the company's human capital management platform benefits from high switching costs because its payroll and workforce tools are deeply embedded in client operations and compliance processes.

The agency adds that Dayforce continues to outgrow the fragmented HCM market, with recurring revenue excluding float growing at a compound annual rate of more than 20% from 2018 to 2024 and growth averaging in the mid-teens in 2025 and the first half of 2026. Fitch expects low double-digit growth in the near term, supported by Dayforce's compliance suite, unified cloud-based platform and continuous payroll calculation capabilities.

Profitability is also improving, with Fitch-adjusted EBITDA margins rising from the high 20% range in 2025 to the low 30% range as of the first half of 2026. Fitch expects margins to improve further into the high 30% range over the rating horizon, while free cash flow margins rise from the high-single digits to the low teens; liquidity remains supported by more than $375 million of cash as of June 2026 and $450 million of remaining availability under the revolver.

Fitch says AI disruption risk for Dayforce is low to moderate because the company's software handles sensitive employee data and complex, compliance-driven payroll calculations integrated with ERP and banking systems. That positioning, combined with auditability requirements and legal risk from payroll errors, is expected to limit near-term disruption from emerging agentic AI tools.

Our earlier report on Fitch’s first-time 'B-' issuer rating for Redtail Bidco (Milestone Environmental) outlined how the agency viewed the company’s positioning in environmental services, supported by regulation-driven demand and solid operating capabilities. We noted that the Stable Outlook reflected expectations that Milestone can execute its growth strategy—bolstered by an expansion into waste management solutions—while maintaining performance and competitiveness as sustainability and compliance needs intensify.
