Grant Thornton gets Fitch BB- rating after CBIZ-backed leverage increase
Grant Thornton's BB- rated debut

Grant Thornton enters the rated debt market with a speculative-grade profile as it absorbs a large acquisition and carries higher leverage. The Stable Outlook reflects Fitch's view that the firm's scale in the U.S. middle market, recurring compliance-driven revenue and strong cash generation support the current capital structure.

Highlights

  • Fitch assigned BB- Issuer Default Ratings with Stable Outlooks to Turbo Global, L.P., Turbo EMEA Holdings B.V., and Grant Thornton Advisors LLC after the CBIZ acquisition.
  • Grant Thornton's pro forma total leverage rises to 5.5x following the roughly $4.3 billion CBIZ-funded debt transaction, with deleveraging depending on synergy execution.
  • Strong free cash flow, non-discretionary compliance revenue, and audit performance support Grant Thornton's profile, but sector litigation risk remains elevated.

Rating action and financing structure

As reported by Fitch Ratings, the agency has assigned first-time Issuer Default Ratings of BB- to Turbo Global, L.P., Turbo EMEA Holdings B.V., and Grant Thornton Advisors LLC, all with Stable Outlooks. Fitch also assigned a first-time BB+/RR2 instrument rating to Turbo Global L.P.'s existing revolver and term loans, as well as new proposed facilities.

The rating action incorporates Grant Thornton's position in the U.S. middle market, stable cash flow and client retention rates of 90% to 95%. Fitch says the assessment also reflects a debt-funded capital structure, with pro forma total leverage of 5.5x following the roughly $4.3 billion CBIZ acquisition, and dependence on synergy execution to support deleveraging.

Cash flow support and sector risk outlook

Fitch says the company's credit profile is supported by a capital-light operating model, limited capital intensity and strong free cash flow. Those factors provide room for debt repayment while still allowing reinvestment in the business.

The agency also points to Grant Thornton's recognizable brand, non-discretionary revenue tied to compliance work and audit inspection performance that is in line with the Big Four. At the same time, Fitch expects auditing firms to remain exposed to corporate lawsuits over the longer term, with potentially large claims, although it says those risks are partly offset by the firm's quality controls, diversified client base and substantial cash flow generation.

We previously reported on Fitch Ratings’ affirmation of Montgomery County, Maryland’s general obligation and special obligation bonds at 'AAA' with a Stable Outlook, reflecting strong financial metrics and disciplined budget management. The review highlighted healthy reserves, steady revenue growth, and economic diversification tied to the county’s proximity to Washington, D.C., which Fitch said support continued credit stability despite potential medium-term pressures.
