Saudi Networkers Services calls ordinary general assembly meeting on governance changes
Saudi Networkers votes 2026

Saudi Networkers Services is set to hold an ordinary general assembly meeting by remote means on October 25, 2026, as shareholders prepare to vote on a series of internal governance and policy amendments. The Riyadh-based meeting requires a quorum representing at least 25% of capital at the first session, with a second session to follow an hour later if attendance falls short.

Highlights

  • Saudi Networkers Services will hold its first ordinary general assembly meeting via modern technology at 19:00 on 25/10/2026 in Riyadh.
  • The meeting will be valid if shareholders representing at least 25% of capital attend; if not, a second meeting will be held an hour later with no attendance threshold.
  • Shareholders will vote on amendments to Corporate Governance Regulations, Audit Committee Regulations, and other policies, with electronic voting via Tadawulaty starting 10/05/1448H.

Meeting timetable and voting process

As reported by Saudi Exchange, the board of Saudi Networkers Services invites shareholders to attend and vote at the first ordinary general assembly meeting at 19:00 on Sunday, 25/10/2026, to be held through modern technology from the company’s headquarters in Riyadh. Shareholders registered in the issuer’s shareholder register at the Depository Center at the end of the trading session preceding the meeting are eligible to attend.

Shareholders may appoint a proxy of their choice, provided that the proxy is not a member of the company’s board of directors. Registration for attendance closes when the meeting begins, while voting rights on the agenda end once the vote-counting committee completes the count.

The company says the first meeting is valid if shareholders representing at least 25% of capital are present. If that threshold is not met, a second meeting is due to be held one hour after the first meeting period and will be valid regardless of the number of voting shares represented.

Governance amendments and shareholder participation

The agenda centers on proposed amendments to several company regulations and policies, including the Corporate Governance Regulations and the Audit Committee Regulations, alongside other internal rules. Shareholders also retain the right to discuss agenda items and raise related questions during the meeting.

Electronic voting is available free of charge to shareholders who have access to the Tadawulaty service, starting from 1:00 AM on 10/05/1448H and continuing until the end of the meeting. We previously noted that persistent issues such as vote-buying, violence, and weak enforcement continue to undermine credibility, with analysts warning that stronger institutional safeguards are needed to rebuild public confidence.
