KBRA affirms stable ratings

Financial Institutions, Inc. keeps its existing KBRA ratings as the bank group shows stronger profitability and steady credit performance. The stable outlook across all long-term ratings reflects expectations that earnings initiatives, capital management and deposit strategy continue to support the company and its Five Star Bank unit.

Highlights

  • KBRA affirms Financial Institutions, Inc. ratings at BBB (senior debt), BBB- (subordinated), and K3 (short-term), with all long-term ratings stable.
  • Return on assets has hovered near 1.3% since 3Q25, powered by net interest margin gains and expense discipline, outperforming similarly rated peers.
  • At 2Q26, Five Star Bank's wealth management platform managed $4.0 billion AUM, contributing to noninterest income at 17% of revenue and diversifying earnings.

Ratings affirmation and operating performance

As reported by Kroll Bond Rating Agency, KBRA affirms the senior unsecured debt rating of BBB, the subordinated debt rating of BBB-, and the short-term debt rating of K3 for Financial Institutions, Inc. It also affirms for Five Star Bank the deposit and senior unsecured debt ratings of BBB+, the subordinated debt rating of BBB, and the short-term deposit and debt ratings of K2, with a Stable outlook for all long-term ratings.

KBRA says the ratings reflect improved profitability driven by meaningful net interest margin expansion, disciplined expense management and relatively stable credit costs. Return on assets has tracked near 1.3% since 3Q25, above the average for similarly rated peers, after a period of weaker relative performance.

Noninterest income contributes about 17% of operating revenue, supported in part by the company's wealth management platform. That business had $4.0 billion in assets under management at 2Q26, providing a stable source of fee-based income and broader revenue diversification.

Capital, asset quality and funding profile

KBRA says FISI's capital position has strengthened following strategic steps in recent years, including an equity offering and a securities portfolio restructuring. Since YE25, the CET1 ratio has improved modestly while the tangible common equity ratio has remained relatively stable, as internal capital generation is partly offset by accumulated other comprehensive loss pressure tied to interest rate volatility and by share repurchases.

Even with that improvement, regulatory capital metrics remain somewhat below those of similarly rated peers. KBRA expects gradual further gains in capital ratios, supported by sustained profitability, organic growth initiatives and prudent capital management.

Asset quality remains in line with the current ratings, with nonperforming assets and net charge-off ratios of 0.82% and 0.27%, respectively, broadly matching peer averages. KBRA also cites an experienced management team, conservative underwriting standards and a granular loan portfolio with generally low loan-to-value ratios, while management expects credit losses to remain generally stable in the near term.

The funding profile is anchored by a core deposit base that represents about 85% of total deposits. The cost of deposits, at 2.07% as of 2Q26, is slightly above average because of a higher share of certificate of deposit balances and public funds, while the loan-to-deposit ratio stays near 90% as management pursues deposit initiatives to deepen client relationships and contain funding cost pressure.

In our earlier coverage of sovereign resilience in a higher-rate regime, we noted that persistent geopolitical tensions and elevated fiscal spending are increasing borrowing and refinancing risks as global funding costs stay high. We also highlighted that emerging and frontier markets are especially exposed because interest-service burdens are large relative to narrower revenue bases, while energy and food price shocks can add to inflation and strain public finances.
