BlackRock Smaller Companies Trust buys back shares for treasury
BlackRock launches share buyback

BlackRock Smaller Companies Trust is continuing its capital management activity with a fresh purchase of its own stock. The company says it buys 75,000 ordinary shares at an average price of 274.00 pence each, with settlement scheduled for 02 November 2026.

Highlights

  • BlackRock Smaller Companies Trust has repurchased shares to hold in treasury, resulting in 237,238,950 issued shares post-settlement and 61,453,655 treasury shares.
  • Following the buyback, treasury shares represent 20.57% of the total 298,692,605 issued shares and do not carry voting rights.
  • Investors must base Disclosure Guidance and Transparency Rules notifications on 237,238,950 voting shares, excluding treasury shares, as of 29 October 2026.

Buyback terms and post-settlement capital

As reported by London Stock Exchange, the company announces that the repurchased shares will be held in treasury rather than cancelled. After settlement, the issued share capital is set at 237,238,950 ordinary shares, excluding 61,453,655 shares held in treasury.

Including treasury shares, the company's total issued share capital stands at 298,692,605 ordinary shares. Following settlement, 20.57% of that total is held in treasury, and those shares do not carry voting rights.

Disclosure threshold implications for investors

For reporting under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules, the company says the market should exclude treasury shares when assessing notification requirements. Investors should therefore use the figure of 237,238,950 shares after settlement when determining whether they must notify an interest in the company, or a change in that interest.

The notice identifies Kevin Mayger, company secretary at BlackRock Investment Management (UK) Limited, as the contact for enquiries. The announcement is dated 29 October 2026.

Our earlier report on activist investors building stakes in Big Yellow outlined how Irenic Capital Management and Ancora Holdings each disclosed roughly 4% positions and urged the company to review strategic options, including a potential sale. We noted that the campaign gained traction as the shares traded near multi-year lows despite steady results, keeping takeover and consolidation speculation in focus for shareholders.
