Safety Insurance Group ratings placed under review as MAPFRE deal advances
Safety ratings under review

Safety Insurance Group and its main insurance subsidiaries are entering a period of ratings uncertainty as the company moves toward a merger with MAPFRE U.S.A. The review covers both insurer financial strength and issuer credit ratings, with the transaction expected to close at the end of the first quarter of 2027, subject to regulatory approval.

Highlights

  • AM Best placed Safety Insurance Group's Financial Strength Rating of A and Long-Term Issuer Credit Ratings under review with developing implications following the MAPFRE merger agreement.
  • The merger between Safety Insurance and MAPFRE U.S.A Corporation aims to expand MAPFRE’s Northeast presence and leverage strategic and operational synergies in overlapping Massachusetts-area markets.
  • The acquisition awaits regulatory approvals and is targeted for completion by end of Q1 2027, with ratings review pending AM Best’s evaluation of integration and business plans.

Merger plan prompts ratings review

As reported by AM Best, the ratings agency places under review with developing implications the Financial Strength Rating of A (Excellent) and the Long-Term Issuer Credit Ratings of “a” (Excellent) for Safety Insurance Company, Safety Indemnity Insurance Company, Safety Property and Casualty Insurance Company and Safety Northeast Insurance Company. It also places under review with developing implications the Long-Term Issuer Credit Rating of “bbb” (Good) for Safety Insurance Group, Inc., the Boston-based parent company listed on Nasdaq under SAFT.

The review follows Safety’s announcement that it enters into a merger agreement with MAPFRE U.S.A Corporation. Under the agreement, Safety merges with a Mapfre subsidiary and remains the surviving entity, while AM Best says the developing implications reflect the need for further analysis as the strategic plan and integration details are established.

Northeast market overlap shapes outlook

AM Best says Mapfre has a successful record of acquiring companies and that the latest transaction helps expand its footprint in the Northeast. Safety’s business complements Mapfre’s existing Massachusetts-area portfolio, supporting the case for operational synergies from overlapping geography and lines of business.

The acquisition remains subject to regulatory approvals and is expected to be completed at the end of the first quarter of 2027. Safety Group’s ratings remain under review until customary approvals are received and AM Best completes its evaluation of the integration and future business plans.

In our earlier article on U.S. insurers’ 2026 Atlantic hurricane season risk outlook, we explained why a weaker storm forecast doesn’t necessarily translate into lower losses as coastal development and rising asset values keep exposure high. We also noted that insurers are increasingly relying on advanced catastrophe models and AI-driven analytics to better quantify single-event loss potential that can still exceed $100 billion.
