SESI proposed notes rated BB- as Superior pursues Welltec deal
SESI secures BB- for Welltec

Superior Energy Services is moving to raise new unsecured debt as it advances financing for its planned acquisition of Welltec International. Fitch assigns a BB- rating to the proposed 2033 notes and keeps a Positive Outlook on SESI and its parent, citing expected scale gains, diversification and post-deal deleveraging.

Highlights

  • Fitch rates SESI, LLC's proposed senior unsecured notes due 2033 at 'BB-' with 'RR4', proceeds funding the $1.2 billion Welltec International acquisition.
  • Fitch expects gross leverage to peak at 2.0x in 2027 post-acquisition, supported by $125–$150 million annual free cash flow and EBITDA margins in the high 30% range.
  • Superior, after integrating Welltec, projects over $750 million EBITDA in 2027, ranking below Weatherford International but outperforming many offshore-focused peers in margin resilience.

Rating rationale and acquisition financing

As reported by Fitch Ratings, SESI, LLC's proposed senior unsecured notes due 2033 receive a 'BB-' rating with a Recovery Rating of 'RR4'. The proceeds are intended to partially fund the recently announced acquisition of Welltec International and cover related fees and expenses.

Fitch says the Positive Outlook on SESI and Superior Energy Services reflects the larger scale and broader business mix expected after the Welltec, Abaco and Sonic transactions. The agency also points to its expectation that Welltec is integrated successfully and that gross debt declines after closing, allowing mid-cycle leverage to remain at or below 2.0x over time.

Fitch views the $1.2 billion Welltec purchase as credit positive in the medium term because it expands Superior's global reach through a high-margin, free-cash-flow generating business. The transaction is expected to be about 60% debt funded, which raises leverage in the near term, but Fitch says deleveraging is supported by strong cash generation from both businesses.

Cash flow profile and sector positioning

Fitch expects Superior's focus on higher-margin, capex-light product lines tied to customer operating spending to support margins through the cycle. Since 2019, the company has removed more labor-intensive and commoditized service lines and exited weaker-performing onshore and offshore regions, while its rentals operations and newer businesses have shown stronger profitability.

The ratings agency projects EBITDA margins in the high 30% range and free cash flow of about $125 million to $150 million in 2026, with further improvement in 2027 after the Welltec deal closes. Its base case assumes gross leverage of 1.6x in 2026, rising toward 2.0x in 2027 following the acquisition financing, before moderating thereafter.

On a pro forma basis, Fitch expects Superior to generate more than $750 million of EBITDA in 2027, placing it below Weatherford International in scale but above several offshore-focused peers. Fitch adds that Superior's rental-led model, diversified customer base and international exposure, including a meaningful presence in Brazil through Welltec, provide a more resilient margin profile than many comparable oilfield services companies.
