- The notes are fully backed by a loan guaranteed by GuarantCo Ltd., whose AA-/Stable rating drives the structure’s repayment prospects and risk assessment.
- Any rating change for GuarantCo will result in an equivalent rating adjustment for the Series 615 notes, reflecting a direct credit linkage.
Rating structure and guarantee support
As reported by Fitch Ratings, the final 'AA-sf' rating applies to Micro, Small & Medium Enterprises Bonds S.A., acting on behalf of its Compartment Series 615, for credit-linked notes maturing in October 2036.MS&ME is a segregated compartment securitisation company domiciled in Luxembourg and used the note proceeds to fund a loan guaranteed by GuarantCo Ltd., which carries a Long-Term Insurer Financial Strength Rating of AA-/Stable. Fitch says the sole risk-presenting entity is GuarantCo as the provider of payment guarantees under the loan facility agreement between NAVA CAPITAL 1 LLC, as borrower, and the issuer, as lender.
The agency says the interest and principal payments under the loan are irrevocably and unconditionally guaranteed in full for the benefit of the special purpose vehicle. That means the transaction represents a pass-through assessment of GuarantCo's credit quality, with cash flows from the guaranteed loan viewed as sufficient to repay the notes fully and meet issuer expenses.
Rating sensitivity and analytical basis
Fitch says any downgrade of GuarantCo's rating would lead to a corresponding downgrade of the Series 615 notes, while any upgrade would similarly lift the CLN rating. The agency adds that the rating of the notes is directly linked to GuarantCo Ltd.'s standing.Form ABS Due Diligence-15E was not provided to or reviewed by Fitch for this rating action. Even so, Fitch says the majority of the underlying assets or risk-presenting entities carry ratings or credit opinions from Fitch and or other nationally recognised statistical rating organisations and or European Securities and Markets Authority-registered rating agencies, and that the information used in its analysis is adequately reliable under its applicable methodologies.
