STERIS ratings affirmed after Xodus acquisition plan
STERIS affirms ratings post-acquisition

STERIS is keeping its investment-grade ratings after announcing a $2.1 billion acquisition of Xodus Medical, a deal that marks its largest purchase since Cantel in 2021. The transaction is primarily debt-funded, but Fitch says the company's leverage and recurring revenue base leave enough room to absorb the purchase while maintaining a Stable Outlook.

Highlights

  • Fitch affirms STERIS plc's 'BBB' ratings after the Xodus acquisition announcement, citing a conservative leverage profile despite debt-funded deal size.
  • Fitch projects STERIS' EBITDA leverage rising to 2.1x by fiscal year-end 2027 from 1.2x in 2026, then declining as EBITDA grows post-acquisition.
  • STERIS is expected to achieve 7%-10% revenue growth with ongoing margin expansion, helped by end-market demand, price actions, and Xodus-driven business diversification.

Fitch view on acquisition financing

As reported by Fitch Ratings, STERIS plc, STERIS Limited and STERIS Corporation retain their Long-Term Issuer Default Ratings and unsecured debt ratings at 'BBB' following the proposed Xodus deal. Fitch says the company's conservative leverage profile supports the acquisition within the current rating, even though it is larger than STERIS' usual tuck-in transactions and relies mainly on debt funding.

Fitch expects EBITDA leverage to rise to about 2.1x at fiscal year-end 2027 from 1.2x at fiscal year-end 2026, then decline gradually as EBITDA grows. The agency says the ratings continue to reflect STERIS' consistent operating performance, broad infection-prevention portfolio, strong market positions and solid financial profile, partly offset by concentration in infection prevention and the U.S. market.

Fitch also sees mergers and acquisitions as a core part of STERIS' growth strategy. It says the Xodus purchase is accretive to the company's business profile because it adds a complementary operating room offering and brings growth, margin and product diversification benefits, although the Pink Pad franchise could face longer-term pricing and competitive pressure.

Growth outlook and margin support

Fitch expects STERIS to deliver revenue growth of 7% to 10% over the forecast period, supported by mid-single-digit organic growth and acquisitions. The agency says steady end-market demand, pricing actions and market share gains underpin the organic outlook, while annual price increases of more than 200 basis points since the pandemic compare favorably with medical device peers.

Margin expansion is also expected to continue, helped by operating execution, pricing, margin accretion from Xodus and manageable tariff and inflation pressure. Fitch adds that supply chain investments to reduce single-source risk, along with excess inventories of critical parts, should improve resilience against future disruptions.

STERIS generates about 80% of revenue from recurring products and services, which supports stable free cash flow generation. Fitch expects higher capital spending for a North Carolina chemistries facility to hold down free cash flow margins between fiscal 2027 and fiscal 2029 before they normalize to the low double-digit range by fiscal 2030.

ICRA’s credit rating on Avaada Glass Private Limited highlighted the company’s investment-grade standing, assigning a BBB+ (Stable) rating for long-term debt and an A2 rating for short-term borrowings. In our earlier coverage, we noted that such assessments are based on factors like financial risk, operating performance, and market position, and can influence borrowing costs and access to capital for companies in the manufacturing sector.
