Universal Health Services secures Fitch affirmation, proposed notes rated at BBB-
UHS rating affirmed by Fitch

Universal Health Services retains its BB+ long-term issuer rating with a Stable Outlook as it moves to add about $1.0 billion in proposed senior secured notes. The rating action comes as the hospital operator absorbs its Talkspace acquisition, while maintaining leverage near the low end of Fitch's positive sensitivity range.

Highlights

  • Fitch affirms Universal Health Services' Long-Term Issuer Default Rating at BB+ with Stable Outlook and rates $1.0 billion of proposed senior secured notes at BBB-/RR1.
  • UHS's $835 million debt-funded acquisition of Talkspace is expected to lift EBITDA leverage to 2.1x by 2026 and be accretive to earnings, backed by synergy with telehealth operations.
  • Fitch forecasts EBITDA margin recovery to 15%-16% in 2027 despite expected $430 million–$480 million EBITDA hit from Medicaid payment changes over 2028–2032 and ongoing expansion spending.

Rating action and acquisition financing

As reported by Fitch Ratings, the agency affirms Universal Health Services' Long-Term Issuer Default Rating at BB+ with a Stable Outlook and keeps its senior secured revolver, senior secured term loan and senior secured notes at BBB- with a Recovery Rating of RR1. Fitch also assigns a BBB-/RR1 instrument rating to approximately $1.0 billion of proposed senior secured notes.

Fitch says the rating reflects strong demand in UHS's higher-growth urban markets, a conservative financial policy and ample liquidity that covers the company's September 2026 bond maturity, its only debt due until 2029. The agency expects EBITDA leverage to sit at 2.1x by the end of 2026 after the debt-funded $835 million acquisition of Talkspace, modestly above the 1.6x to 1.9x range recorded since 2023.

Talkspace, a virtual behavioral healthcare provider with more than 6,000 professionals, generated $229 million in 2025 revenue from 1.6 million therapy and psychiatry sessions. Fitch expects the deal to be slightly accretive to earnings in the first year and increasingly accretive after that, with potential synergies across UHS's outpatient behavioral and telehealth operations.

Medicaid risk and operating outlook

Fitch says UHS faces reimbursement risk from the phase-down of Medicaid state directed payments under the One Big Beautiful Bill Act of 2025. The agency expects those payments to decline from commercial to Medicare levels over 2028 to 2032, and UHS estimates the change could cut cumulative EBITDA by $430 million to $480 million across the five-year period.

Even with heavy expansion spending, Fitch expects free cash flow to improve to 5.0% of revenue over its forecast period from 4.5% in 2025, while capex remains at 5.5% to 6.0% of revenue. UHS advances two de novo behavioral health projects totaling 264 beds in 2025, adds 178 acute-care inpatient beds, opens the 142-bed Cedar Hills Hospital and expands capacity further with the $430 million Alan Miller Medical Center in Palm Beach Gardens.

Fitch expects only modest margin pressure in 2026, followed by recovery to a 15% to 16% EBITDA margin range in 2027 as higher-margin behavioral health grows faster than acute care. The agency says UHS's scale, liquidity and leverage profile set it apart from lower-rated peers including Tenet Healthcare, Prime Healthcare Services and Community Health Systems.

Fitch’s rating of Willamette View’s bond-financed campus expansion in Oregon outlined how roughly $145 million of Series 2026 refunding and improvement bonds would fund the Skyline tower project and related amenities, backed by a gross revenue pledge and a debt service reserve. Our earlier article highlighted that the Stable Outlook hinged on adequate cost control and healthy demand, while noting downside risks if fill-up, margins, or leverage trends weaken without corresponding revenue support.
