October capital update and voting base

As reported by London Stock Exchange, the disclosure was made under DTR 5.6.1 of the Financial Conduct Authority's Disclosure Guidance and Transparency Rules and sets out the company's latest voting rights position following share repurchases.

During October 2026, Fidelity China Special Situations PLC repurchased 3,452,541 ordinary shares for cancellation, while no new ordinary shares were issued. As at 31 October 2026, the company's issued share capital consisted of 535,240,303 ordinary shares.

The total also includes 85,629,548 ordinary shares held in treasury, which carry no voting rights. Excluding those treasury shares, the total number of voting rights stands at 449,610,755.

Disclosure implications for shareholders

That voting rights total serves as the denominator shareholders should use when assessing whether they need to notify an interest, or a change in an interest, in the company under the FCA's Disclosure Guidance and Transparency Rules.

Such monthly disclosures are standard for London-listed companies conducting buybacks because they update the market on changes to capital and the voting base used for regulatory reporting. For investors, the revised denominator can affect percentage ownership calculations even when no new shares are issued.
