Diamond Infrastructure Funding seeks Fitch ratings for $900 million cellular site notes
Diamond Infrastructure Funding is preparing a $900 million secured notes issuance backed by cash flow from a large portfolio of wireless communication sites. The proceeds are set to refinance the issuer's 2021-1 series notes in full while also covering transaction costs, reserves, distributions and general corporate purposes.
Highlights
- Diamond Infrastructure Funding LLC's $900 million series 2026-1 transaction seeks Fitch ratings, with $50 million class A-1 and $627.6 million class A-2 tranches expected at 'A-(EXP)sf'.
- The transaction is backed by mortgages on cellular sites with 2,835 leases, where 89.6% of annualized run rate revenue comes from investment-grade tenants and 51.3% from national wireless carriers.
- Fitch estimates net cash flow for the collateral pool at $69.7 million, up 2.9%, but highlights sector risks from potential lease churn and technological changes reducing tower demand.
Expected ratings and deal structure
As reported by Fitch Ratings, Diamond Infrastructure Funding LLC's series 2026-1 transaction includes a $50 million class A-1 tranche expected at 'A-(EXP)sf' with a Stable outlook and a $627.6 million class A-2 tranche also expected at 'A-(EXP)sf' with a Stable outlook. The agency also expects to assign 'NR(EXP)sf' ratings to the $167 million class B notes and the $55.4 million class C notes. The transaction is backed by mortgages on cellular sites representing at least 85.0% of annualized run rate net cash flow from all cellular sites at closing, with a guarantee from the issuer's direct parent. That guarantee is secured by a pledge and first-priority perfected security interest in 100% of the issuer's equity interests tied to site interests across 2,379 wireless communication sites.
Cash flow support comes from 2,835 leases, primarily for telephony services, which account for 55.7% of annualized run rate revenue and carry a weighted average final remaining term of about 39 years. Fitch said 89.6% of annualized run rate revenue is derived from tenants with investment-grade ratings, while 51.3% comes from national wireless carriers.
Credit strengths and sector risks
Fitch said its net cash flow estimate for the collateral pool is $69.7 million, implying a 2.9% increase to issuer net cash flow. The agency said its analysis reflects the cash flow generated by ownership interests in the cellular sites rather than the corporate default risk of ultimate parent Diamond Infrastructure Inc.Among the main credit factors cited by Fitch are the size and diversity of the collateral pool, a creditworthy customer base with limited historical churn, the operator's market position and capabilities, limited operational requirements, high barriers to entry, transaction structure and growth potential. At the same time, the senior classes do not rise above 'Asf' because the collateral is specialized and long-term demand for tower space could be affected by changes in wireless transmission technology.
Fitch said negative rating pressure could emerge if cash flow declines because of higher site expenses or lease churn, or if alternative technologies for transmitting wireless signals reduce dependence on tower infrastructure.
