Transaction structure and rating review

As reported by KBRA, citing Kroll Bond Rating Agency, FAST 2026-1 includes five classes of notes backed by auto loans and totals $288.8 million. KBRA says it assigns ratings to all five classes in the securitization, which is sponsored by FFG Funding LLC, a wholly owned subsidiary of Flagship Financial Group LLC.

The initial credit enhancement for the transaction consists of overcollateralization, subordination, except for the Class E notes, a reserve account funded at closing, and excess spread. In its review, KBRA says it applies its Auto Loan ABS Global Rating Methodology and its Global Structured Finance Counterparty Methodology, analyzing static pool data, the collateral pool and the capital structure under stress case cash flow assumptions.

KBRA also says it considers its operational review of Flagship and periodic update calls with the company. Operative agreements and legal opinions are reviewed before closing, according to the rating agency.

Flagship origination model and market positioning

Flagship was formed in September 2025 and begins operations in January 2026 after acquiring the origination and servicing operations of Flagship Credit Acceptance LLC, referred to as Former Flagship. The company maintains operational continuity with the predecessor business by largely retaining staff, systems and infrastructure, while updating underwriting models and shifting originations toward lower-risk internal credit grades.

Former Flagship was established in 2010 and originated and serviced auto loans. Flagship funds its automobile lending activity with equity capital and ongoing asset sales to FFG Funding LLC under a forward flow purchase agreement, while FFG Funding LLC uses equity capital and warehouse lines of credit to fund its activities.

Flagship originates loans through indirect and direct channels. Under the indirect channel, it purchases automobile loan contracts from mainly franchised dealerships arranging financing for buyers of new or used vehicles, while the direct channel focuses on refinancing existing auto loans through third-party referral partners sourcing consumers through print advertising, online searches and other referral sources.
